Welcome to ChatterBox. These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("you," "your," or "Customer") and ChatterBox Phone, LLC ("ChatterBox," "we," "us," or "our") governing your use of our Voice over Internet Protocol ("VoIP") telephone service, equipment, website, and related services (collectively, the "Service").
BY CREATING AN ACCOUNT, PURCHASING EQUIPMENT, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
You must be at least 18 years of age and legally capable of entering into binding contracts to create an account and subscribe to the Service. By creating an account, you represent and warrant that you meet these requirements.
ChatterBox is designed for family use, including use by children under your supervision. As the account holder, you are the parent or legal guardian responsible for all phones and users associated with your account. You consent to Service use by children in your household and are responsible for all activity on devices. Your account holder status and payment constitute parental consent for any collection of information from child users as described in our Privacy Policy.
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
ChatterBox provides interconnected VoIP telephone service that allows you to make and receive calls over your broadband internet connection. The Service requires compatible equipment, a functioning broadband internet connection, and electrical power to operate.
The Service includes parental control features such as contact whitelists, call logging, and administrative controls to help you manage your child's phone use. You acknowledge that parental monitoring features are an intended part of the Service and do not constitute unauthorized interception.
The Service is intended solely for single-family, normal residential use. The Service may not be used for commercial purposes, call centers, or any business application. We reserve the right to terminate accounts that exceed 2,000 minutes of usage per month per line, which may indicate non-residential use.
Please read this section carefully. The 911 emergency calling capabilities of VoIP service differ from traditional telephone service.
ChatterBox provides Enhanced 911 ("E911") service that transmits your registered address and callback number to emergency services when you dial 911. However, E911 service has limitations compared to traditional landline 911 service.
You will NOT be able to call 911 from your ChatterBox phone if:
You must provide and maintain an accurate physical street address (not a P.O. Box) for each phone. If you move your phone to a different location without updating your address, emergency responders may be dispatched to the wrong location. Address updates may take up to 24 hours to process. Do not rely on 911 until your address update is confirmed.
Your ChatterBox phone is registered to ONE specific address. If you take the phone to another location (vacation home, grandparents' house, or anywhere else), 911 might NOT send emergency responders to your actual location. They might be dispatched to your registered address.
ChatterBox includes a 911 Alert feature that sends notifications to your designated emergency contact(s) when any phone on your account dials 911. You are responsible for configuring these contacts in your account settings.

By using the Service, you acknowledge that you have read, understand, and agree to the 911 limitations described in this section and in our separate 911 Disclosure. You agree to inform all users of your phone about these limitations.
You may NOT use the Service for:
You are solely responsible for ensuring your use of the Service complies with all applicable laws, including the TCPA. You represent and warrant that you have obtained proper consent for all outbound communications. You agree to indemnify ChatterBox for any claims arising from your violation of telecommunications laws.
ChatterBox phone service requires compatible VoIP phone equipment. Equipment purchased from ChatterBox becomes your property upon payment. You are responsible for proper setup, maintenance, and any damage to equipment after delivery.
You are responsible for obtaining and maintaining a broadband internet connection meeting minimum requirements for VoIP service. ChatterBox is not responsible for service quality issues caused by your internet connection, network equipment, or internet service provider.
You agree to pay all fees associated with your account, including monthly service fees, one-time equipment charges, and applicable taxes and regulatory fees. Current pricing is available on our website.
Your bill may include regulatory fees and surcharges required by federal, state, or local authorities, including contributions to the Universal Service Fund (USF), E911 fees, and other telecommunications surcharges. These fees may vary and are subject to change.
Service fees are billed monthly in advance. Your subscription will automatically renew each period (based on the subscription term selected, e.g. 3 month or annual) unless cancelled. We will charge the payment method on file. You may cancel auto-renewal at any time through your account settings.
Unpaid balances may accrue interest at 1.5% per month or the maximum rate permitted by law. Failed payment transactions may incur a $10 processing fee. Accounts with unpaid balances may be suspended or terminated, and 911 service will be unavailable during any suspension.
You must notify us of any billing disputes within thirty (30) days of the charge. Failure to dispute within this period constitutes acceptance of the charges.
New customers may cancel within thirty (30) days of initial activation for a full refund of service fees, provided equipment is returned in original condition. Equipment return shipping is the customer's responsibility. Refunds will be processed within 15 business days.
We may change our prices with thirty (30) days' notice. If you do not agree to a price increase, you may cancel your service without penalty within five (5) days of the effective date of the increase.
This Agreement begins when you create an account or first use the Service and continues on a month-to-month basis until terminated.
You may cancel your Service at any time by contacting customer support or through your account settings. Cancellation will be effective at the end of your current billing period.
We may suspend or terminate your Service immediately if you: (a) violate these Terms; (b) fail to pay fees when due; (c) engage in abusive, fraudulent, or illegal conduct; or (d) use the Service in a manner that threatens our network or other customers. We may also terminate for convenience with thirty (30) days' notice.
Upon termination, your right to use the Service immediately ends. Your phone number may be released and is not guaranteed to be available for porting. You remain responsible for all charges incurred before termination.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, ChatterBox's total liability to you for any claims arising from or related to the Service shall not exceed the greater of: (a) $100, or (b) the total fees you paid to ChatterBox in the twelve (12) months preceding the claim.
In no event shall ChatterBox be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: personal injury or death; property damage; loss of data, revenue, or profits; or damages arising from inability to access emergency services, even if advised of the possibility of such damages.
You expressly acknowledge and agree that ChatterBox shall not be liable for any damages arising from your inability to use 911 or E911 services, including inability to access emergency services, incorrect routing of emergency calls, or failure of emergency personnel to respond. This limitation applies regardless of the cause, including power outages, internet failures, incorrect address information, or technical failures.
Any liability relating to these Terms shall be enforceable only against the corporate assets of ChatterBox Phone, LLC. No officer, director, member, or employee shall have personal liability.
You agree to indemnify, defend, and hold harmless ChatterBox and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws, including the TCPA; or (d) any claims by third parties related to your use of the Service.
Before initiating any formal dispute resolution, you agree to contact us and attempt to resolve any dispute informally for at least sixty (60) days.
Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Franklin County, Ohio, or another mutually agreed location. The arbitrator's decision shall be final and binding.
You and ChatterBox agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any class or representative proceeding. The arbitrator may not consolidate multiple persons' claims or preside over any form of class proceeding.
Notwithstanding the above, either party may bring qualifying claims in small claims court.
For claims under $75,000, ChatterBox will pay all AAA filing, administration, and arbitrator fees. Each party bears its own attorneys' fees unless the arbitrator determines that a claim was frivolous.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles.
We may modify these Terms at any time. Material changes will be communicated via email or notice on our website at least thirty (30) days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and 911 Disclosure, constitute the entire agreement between you and ChatterBox regarding the Service and supersede all prior agreements.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
ChatterBox shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, acts of war, terrorism, labor disputes, internet outages, or government actions.
Sections relating to limitation of liability, indemnification, dispute resolution, and any provisions that by their nature should survive termination shall survive termination of these Terms.
